Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On February 19, 2019, Edgar G. Hotard, a director of Jason Industries, Inc. (the “Company”), advised the Board of Directors that he intends to resign effective immediately. In his resignation notice, Mr. Hotard stated that he has no disagreements with the Company or its management on any matter relating to the Company’s operations, policies or practices.
As a result of Mr. Hotard’s decision, the Board of Directors reduced the size of the Company’s Board of Directors from nine to eight members effective February 19, 2019.
