Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 6, 2014, the Board of Directors of Marcus & Millichap, Inc. (the Company) appointed Kurt H. Schwarz as the Companys Vice President of Finance and Chief Accounting Officer, effective immediately.
Mr. Schwarz, age 55, has served as the Companys Vice President of Finance since April 2014. Prior to joining the Company, Mr. Schwarz was an independent senior accounting professional. From April 1995 to April 2013, Mr. Schwarz served as Senior Vice President and Chief Accounting Officer of International Lease Finance Corporation. Mr. Schwarz previously served as a Senior Manager at Ernst & Young LLP where he provided advisory services relating to audits, bankruptcies and reorganizations, financial advisory services and mergers and acquisitions. Mr. Schwarz is a certified public accountant and received a Bachelor of Science in Accounting from California Lutheran University.

The Companys 2014 Annual Meeting of Stockholders (the Annual Meeting) was held on May 6, 2014. The Companys stockholders voted on the following three proposals at the Annual Meeting and cast their votes as follows:
