(e)           On October 30, 2014, the Board of Directors (the “Board”) of FTD Companies, Inc. (the “Company”) approved the termination of the FTD Companies, Inc. Amended and Restated 2013 Employee Stock Purchase Plan (the “ESPP”), which termination will be effective as of May 1, 2015 following the close of the six-month purchase interval under the ESPP that ends on April 30, 2015. The ESPP was filed as an exhibit to the Company’s current report on Form 8-K filed on November 13, 2013.
