The registrant could not complete the preparation, review and filing of its Quarterly Report on Form 10-Q for the period ending October 31, 2020 (the “Form 10-Q”) by December 15, 2020 without undue hardship and expense to the registrant. Additional time is needed for the registrant to finalize the preparation of its financial statements and disclosures. The registrant anticipates that it will file the Form 10-Q within the “grace” period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
