Item 5.02

 

On January 25, 2019, the Board of Directors (the “Board”) of Microphase Corporation (the “Company”), received a letter of resignation from James Ashman, the Company’s Chief Financial Officer, from all of his positions with the Company, effective immediately. There was no disagreement or dispute between Mr. Ashman and the Company which led to his resignation.
