Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 15, 2021, Robert G. Haiman, Executive Vice President, General Counsel and Secretary of Braemar Hotels & Resorts Inc. (the “Company”) resigned, and the Company and Mr. Haiman have agreed that his last day of service with the Company will be between May 31, 2021 and June 30, 2021. The resignation is not a result of any dispute or disagreement with the Company or its practices and is motivated by personal reasons related to Mr. Haiman’s family.
