On September 15, 2015, Ashford Hospitality Prime, Inc. (the “Company”) issued a press release announcing that its Board of Directors:

a) declared a common stock dividend for the third quarter ending September 30, 2015, of $0.10 per diluted share, payable October 15, 2015, for shareholders of record as of September 30, 2015; and

b) declared a dividend for the third quarter ending September 30, 2015, of $0.3438 per diluted share, for the Company’s 5.5%
Series A Cumulative Convertible Preferred Stock. This dividend is payable October 1, 2015, for shareholders of record as of September 15, 2015.

ASHFORD PRIME DECLARES DIVIDEND FOR THIRD QUARTER OF 2015
DALLAS, September 15, 2015 -- Ashford Hospitality Prime, Inc. (NYSE: AHP) (“Ashford Prime” or the “Company”) today announced that its Board of Directors declared a quarterly cash dividend of $0.10 per diluted share for the Company's common stock for the third quarter ending September 30, 2015. The dividend, which equates to an annual rate of $0.40 per share, is payable on October 15, 2015, to shareholders of record as of September 30, 2015.
The Board declared a quarterly cash dividend of $0.3438 per diluted share for the Company's 5.5% Series A Cumulative Convertible Preferred Stock for the third quarter ending September 30, 2015. The dividend, which equates to an annual rate of $1.375 per share, is payable on October 1, 2015, to shareholders of record as of September 15, 2015.
