On September 30, 2021, American Finance Trust, Inc. (the “Company”) issued a press release announcing that the Company and American Finance Operating Partnership, L.P., the Company’s operating partnership subsidiary, priced their previously announced offering of seven-year senior unsecured notes. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.

American Finance Trust, Inc. Announces
Pricing of $500 Million of Senior Notes
NEW YORK, September 30, 2021 – American Finance Trust, Inc. (“AFIN” or the “Company”) (Nasdaq: AFIN) today announced that the Company and American Finance Operating Partnership, L.P. , the Company’s operating partnership subsidiary (the “Operating Partnership” and, together with the Company, the “Issuers”), priced $500 million aggregate principal amount of new 4.50% Senior Notes due 2028 (the “Notes”). The Notes will be guaranteed on a senior unsecured basis by each of the Company’s subsidiaries that are guarantors under the Operating Partnership’s senior unsecured revolving credit facility (the “Credit Facility”).
The issuance of the Notes is expected to close on or about October 7, 2021, subject to customary closing conditions. The Issuers intend to use proceeds from the offering to repay amounts borrowed under the Credit Facility of approximately $186.2 million, repay $125 million of certain mortgage notes, to fund future property acquisitions and for other general corporate purposes.
The Notes and related guarantees were offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Notes and related guarantees have not been, and will not be, registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
