Item 2.02    Results of Operations and Financial Condition.
On March 14, 2024, PagerDuty, Inc. (the "Company") furnished a Current Report on Form 8-K that included a press release reporting financial results for the quarter and fiscal year ended January 31, 2024 (the "Original Form 8-K"). The Company is filing this Amendment No. 1 on Form 8-K/A to amend the Original Form 8-K solely to correct the amount shown for General and administrative stock-based compensation expenses for the three months ended January 31, 2024 in the footnote to the Company’s Consolidated Statements of Operations as reflected in the press release attached as Exhibit 99.1 to the Form 8-K. A copy of the corrected press release is furnished as Exhibit 99.1 to this report and incorporated by reference. Other than the correction of the clerical error described in this report, no other changes have been made to the Original 8-K or the press release furnished therewith.
