Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 3, 2019, in connection with its regular review of compensation matters, the Compensation Committee of the Board of Directors of SeaWorld Entertainment, Inc. (the “Company”), approved certain equity awards designed to recognize employees for their contribution and continued expected contribution to the Company and its long term goals. To that end, time restricted awards with a grant date fair value of $175,000 were granted on October 3, 2019 to each of Walter Bogumil, Dr. Christopher (Chris) Dold, G. Anthony (Tony) Taylor and Sharon (Sherri) Nadeau. The awards are in the form of restricted stock units that will vest 50% on each of the first two anniversaries of the grant date, subject to the recipient’s continued employment on each such vesting date.
