The previously announced private repurchase by SeaWorld Entertainment, Inc. (the “Company”) of 5,615,874 shares of common stock of the Company held by Lord Central Opportunity V Limited, a company incorporated under the laws of the British Virgin Islands (the “Security Agent”), at a price per share equal to $26.71 (the “SEAS Repurchase”) closed on May 30, 2019.
Concurrently with the closing of the SEAS Repurchase, the previously announced private sale by the Security Agent of 13,214,000 shares of common stock of the Company to certain affiliates of Hill Path Capital LP at a price per share equal to $26.71 also closed.
