Item 2.02 Results of Operations and Financial Condition.

On August 1, 2023, SeaWorld Entertainment, Inc. (the “Company”) issued a press release announcing the preliminary results for the fiscal quarter ended June 30, 2023. The full text of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in this Item 2.02.

Item 7.01 Regulation FD Disclosure.

Marketing of Term B Facility Repricing

On August 1, 2023, the Company announced that it is launching an amendment for its existing first lien term loan facility (the “Term Loan Facility”) under that certain Amended and Restated Credit Agreement, dated as of August 25, 2021 (and as amended on June 9, 2022 and June 12, 2023), among the Company, SeaWorld Parks & Entertainment, Inc., the lenders party thereto and JPMorgan Chase Bank, N.A., as administrative agent, to, among other things, reprice the existing Term Loan Facility thereunder. The amendment and the related pricing transactions are subject to market and other conditions, and may not occur as described or at all.

This disclosure shall not constitute an offer to sell or the solicitation of an offer to purchase any security and shall not constitute an offer, solicitation or sale in any state or jurisdiction in which such offering, solicitation or sale would be unlawful.

Redemption of 8.750% First-Priority Senior Secured Notes due 2025

On August 1, 2023, SeaWorld Parks & Entertainment, Inc. (the “Issuer”), a direct wholly-owned subsidiary of the Company, issued a conditional notice of redemption (the “Redemption Notice”) for all of the $227.5 million aggregate principal amount of the Issuer’s 8.750% First-Priority Senior Secured Notes due 2025 (the “2025 Secured Notes”) that remain outstanding as of the date thereof.

The Redemption Notice states that, upon satisfaction of certain conditions as set forth therein, $227.5 million aggregate principal amount of the 2025 Secured Notes will be redeemed on August 31, 2023 (the “Redemption Date”) at a price equal to the sum of (i) 102.188% of the principal amount of the 2025 Secured Notes to be redeemed, plus (ii) accrued and unpaid interest, if any, to, but excluding, the Redemption Date.

The redemption pursuant to the Redemption Notice is conditioned on the completion of a financing, which may be in the form of notes, loans or other securities, or a combination thereof, on or prior to the Redemption Date, by the Company and/or the Issuer on terms satisfactory to the Company and/or the Issuer, as applicable, and in an aggregate principal amount satisfactory to the Company and/or Issuer as the case may be. This disclosure shall not constitute an offer to sell or the solicitation of an offer to purchase any of the 2025 Secured Notes.

SEAWORLD ENTERTAINMENT, INC. ANNOUNCES PRELIMINARY SECOND QUARTER RESULTS

ORLANDO, Fla., August 1, 2023 /PRNewswire/ -- SeaWorld Entertainment, Inc. (NYSE: SEAS) (the “Company”), a leading theme park and entertainment company, today announced its preliminary second quarter financial results.

The Company’s financial statements for the three and six months ended June 30, 2023 are not yet complete. Accordingly, the Company is presenting the following preliminary estimates for the three and six months ended June 30, 2023. Given the timing of these estimates, the Company has not completed its customary financial closing and review procedures, and as a result its estimates are subject to change.

Attendance was approximately 6.1 million guests, a decline from 6.3 million guests from the quarter ended June 30, 2022 (“Q2 2022”). The decrease in attendance was primarily due to adverse weather across a number of the Company's markets, including during peak visitation periods.
Total revenues is expected to be approximately $494-$497 million, compared to $504.8 million in Q2 2022. The decline was largely a result of a decrease in attendance, partially offset by an increase in total revenue per capita.
Net income is expected to be approximately $85-$88 million, compared to $116.6 million in Q2 2022. The decline in net income is primarily due to an increase in interest expense as well as a reduction in total revenues.
Adjusted EBITDA is expected to be approximately $222-$225 million, compared to $234.4 million in Q2 2022.
Cash and cash equivalents balance is expected to be approximately $147 million as of June 30, 2023.

The Company's financial information is preliminary and unaudited and inherently uncertain and subject to change as the Company completes its financial statements as of and for the three months ended June 30, 2023. The Company’s preliminary results as set forth herein are based on information currently available to management. This preliminary financial data has been prepared by, and is the responsibility of, the Company’s management. In addition, the preliminary estimates are subject to revision as the Company prepares its financial statements and disclosures for the three and six months ended June 30, 2023, and such revisions may be significant, in particular, the Company has not finalized its tax provision or review of deferred tax balances and related valuation allowances. As a result, and in connection with the Company’s quarterly closing and review process for the second quarter of 2023, the Company may identify items that would require adjustments to the preliminary estimates as set forth herein. Accordingly, the final results and other disclosures as of June 30, 2023 and for the three and six months ended June 30, 2023 may differ materially from the preliminary estimated data. The preliminary estimated financial data should not be viewed as a substitute for financial statements prepared in accordance with accounting principles generally accepted in the United States. The Company expects to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2023 no later than August 9, 2023.

On May 16, 2023, the Company approved the engagement of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023. As of May 16, 2023, Deloitte & Touche LLP was no longer the Company’s independent registered public accounting firm. None of KPMG LLP, Deloitte & Touche LLP or any other accounting firm has audited, reviewed, compiled, or performed any procedures with respect to the Company’s preliminary estimated financial data set forth herein. (e) Reflects the impact of expenses, net of insurance recoveries and adjustments, incurred primarily related to certain matters, which we are permitted to exclude under the credit agreement governing the Company's Senior Secured Credit Facilities due to the unusual nature of the items. For the three and six months ended June 30, 2022, includes $3.6 million related to a legal settlement.

(f) Adjusted EBITDA is defined as net income (loss) before income tax expense, interest expense, depreciation and amortization, as further adjusted to exclude certain non-cash, and other items as described above.

(g) The Company’s debt agreements permit the calculation of certain covenants to be based on Covenant Adjusted EBITDA for the last twelve-month period further adjusted for net annualized estimated savings we expect to realize over the following 24-month period related to certain specified actions, including restructurings and cost savings initiatives. These estimated savings are calculated net of the amount of actual benefits realized during such period. These estimated savings are a non-GAAP Adjusted EBITDA add-back item only as defined in the Company’s debt agreements and does not impact its reported GAAP net income (loss).

(h) The Company’s debt agreements permit the calculation of certain covenants to be based on Covenant Adjusted EBITDA for the last twelve-month period further adjusted for certain costs as permitted by Company’s debt agreements including recruiting and retention expenses, public company compliance costs and litigation and arbitration costs, if any.

(i) Covenant Adjusted EBITDA is defined in the Company’s debt agreements as Adjusted EBITDA for the last twelve-month period further adjusted for net annualized estimated savings among other adjustments as described in footnotes (g) and (h) above.
