This transaction relates to the settlement of the DSUs (as defined herein) by a distribution of Common Shares under the Plan (as defined herein).
On May 8, 2019, an award of 4,552 DSUs previously granted on June 1, 2018, vested. As provided in the Trustee Equity Election Form, the Common Shares underlying the DSUs were not deliverable until the earlier of (i) January 1, 2020 or (ii) the first business day of the year immediately following the year the reporting person ceases to serve as a member of the Company's Board of Trustees, and will be delivered in five equal annual installments.
Represents the value per DSU or Common Share under the Plan (as defined herein), based on the fair market value of the Common Shares on the transaction date.
These Deferred Stock Units ("DSUs") of Urban Edge Properties (the "Company") were issued under the Urban Edge Properties 2015 Omnibus Share Plan (the "Plan"). The DSUs entitle the reporting person to an equivalent number of Common Shares of the Company without the payment of any consideration.
No expiration date is applicable to the DSUs.
