Item 5.02

Departure of Director of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors (the “Board”) of Lightstone Value Plus Real Estate Investment Trust III, Inc. (the “Company”) appointed Seth Molod as the Company’s Chief Financial Officer and Treasurer effective August 27, 2018. Prior to joining the Company, Mr. Molod, 54, served as an Audit Partner, Chair of Real Estate Services and on the Executive Committee of Berdon LLP, a full service accounting, tax, financial and management advisory firm (“Berdon”). Mr. Molod joined Berdon in 1989. He has extensive experience advising some of the nation’s most prominent real estate owners, developers, managers, and investors in both commercial and residential projects. Mr. Molod has worked with many privately held real estate companies as well as institutional investors, REITs, and other public companies. Mr. Molod is also serving as Executive Vice President and Chief Financial Officer of The Lightstone Group, the Company’s sponsor and advisor, and other investment funds sponsored by The Lightstone Group. Mr. Molod is a licensed certified public accountant in New Jersey and New York and a member of the American Institute of Certified Public Accountants. Mr. Molod holds a Bachelor of Business Administration degree in Accounting from Muhlenberg College.
