(the "Company"), approved an amendment to the Company's 1994 Stock Incentive Plan (the "1994 Plan") to increase the maximum number of shares of the Company's Common Stock, par value $.10 per share (the "Common Stock"), that may be issued under the 1994 Plan by 1,000,000 shares and to make certain other related amendments thereto. The Company's shareholders approved these amendments at the Company's Annual Meeting of Shareholders on May 17, 2000.
