This report contains a copy of the registrant’s convening notice and agenda for its Annual General Meeting and Extraordinary General Meeting of Shareholders to be held on May 4, 2015, together with a copy of the form of proxy to be solicited by the Company.

 

Globant S.A. (the “Company”) decided to postpone the Annual General Meeting, originally scheduled for April 17, due to the recent closing of its secondary public offering on April 1, 2015 as a result of which a total of 3,994,390 common shares were sold. Immediately following the conclusion of the Annual General Meeting of Shareholders, the Company will hold an Extraordinary General Meeting of Shareholders for the purpose of approving an increase and extension of the duration of the authorized capital of the Company. Both meetings will be held at the registered office of the Company at 5, rue Guillaume Kroll, L-1882, Luxembourg. The record date for the determination of shareholders entitled to receive notice of and to vote in the Annual and Extraordinary General Meetings of Shareholders was April 13, 2015.
