Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Change in Fiscal Year End

On October 14, 2014, the Board of Directors (the “Board”) of A.C. Simmonds and Sons Inc. (the “Company”) approved a change in the Company’s fiscal year end from August 31 to December 31 of each year. On August 1, 2014, the Board had determined to change its fiscal year end from December 31to August 31, but the Board now deems it advisable to return to the Company’s previous fiscal year end. The Company plans to file an Annual Report on Form 10-K that covers the period from January 1, 2014 to December 31, 2014 within 90 days after the completion of the fiscal year end.
