In expressing the opinion set forth below, we have assumed the following:

 

1.                                      Each individual executing any of the Documents, whether on behalf of such individual or another person, is legally competent to do so.

 

2.                                      Each individual executing any of the Documents on behalf of a party (other than the Company) is duly authorized to do so.

 

3.                                      Each of the parties (other than the Company) executing any of the Documents has duly and validly executed and delivered each of the Documents to which such party is a signatory, and such party’s obligations set forth therein are legal, valid and binding and are enforceable in accordance with all stated terms.

5.                                      The Shares will not be issued or transferred in violation of the restrictions on transfer and ownership contained in Article VII of the Charter.

 

Based upon the foregoing, and subject to the assumptions, limitations and qualifications stated herein, it is our opinion that:

 

1.                                      The Company is a corporation duly incorporated and existing under and by virtue of the laws of the State of Maryland and is in good standing with the SDAT.

2.                                      The issuance of the Shares has been duly authorized and, when issued and delivered by the Company in accordance with the Resolutions and the Registration Statement against payment of the consideration set forth therein, the Shares will be validly issued, fully paid and nonassessable.

CyrusOne Inc. Closes Public Offering of Common Stock

 

DALLAS  ¾  April 7, 2015 ¾ CyrusOne Inc. (NASDAQ:CONE) (“CyrusOne”) has closed a public offering of 14,260,000 shares of its common stock, which included 1,860,000 shares of common stock sold pursuant to the option granted to the underwriters by CyrusOne, which was exercised prior to the closing, at a price to the public of $31.12 per share.

 

Citigroup, Morgan Stanley, Barclays, Deutsche Bank Securities, Goldman, Sachs & Co. and J.P. Morgan acted as joint-bookrunners for the offering. PNC Capital Markets LLC, Regions Securities LLC and UBS Investment Bank acted as co-managers for the offering.

 

CyrusOne used the net proceeds of the offering to acquire 14,260,000 common units of limited partnership interests in CyrusOne’s operating partnership, CyrusOne LP, from two subsidiaries of Cincinnati Bell Inc. (“Cincinnati Bell”).

 

As a result of this offering, Cincinnati Bell effectively owns approximately 21.7% of CyrusOne through its interests in the outstanding shares of common stock of CyrusOne and its interests in the common units of limited partnership interest of CyrusOne LP, which are exchangeable, at CyrusOne’s election into shares of common stock of CyrusOne on a one-for-one basis.
