Item 1.01 Entry Into a Material Definitive Agreement.

On March 29, 2024, Delek Logistics Partners, LP (the “Partnership”), and certain of its subsidiaries (together with the Partnership, the “Borrowers”) and certain other of its subsidiaries, as guarantors (together, the “Guarantors”) entered into a Fourth Amendment to that certain Fourth Amended and Restated Credit Agreement, dated as of October 13, 2022 (as amended, supplemented or otherwise modified, the “DKL Credit Agreement”) with Fifth Third Bank, National Association, as Administrative Agent, and the lenders from time to time party thereto (the “Amendment”). The Amendment, (i) increased the Revolving Credit Commitments (as defined in the DKL Credit Facility) by an amount equal to $100,000,000, to provide for an aggregate Revolving Credit Commitments amount of $1,150,000,000, and (ii) increased the Partnership’s and its subsidiaries ability to incur indebtedness.
