Cohen & Steers Limited Duration Preferred and Income Fund, Inc. (NYSE: LDP) (the “Fund”), acting in accordance with an exemptive order received from the Securities and Exchange Commission and with approval of its Board of Directors, adopted a managed distribution policy under which the Fund intends to include long-term capital gains, where applicable, as part of the regular monthly cash distributions to its shareholders. Cohen & Steers Limited Duration Preferred and Income Fund, Inc. (NYSE: LDP) (the “Fund”), acting in accordance with an exemptive order received from the Securities and Exchange Commission and with approval of its Board of Directors, adopted a managed distribution policy under which the Fund intends to include long-term capital gains, where applicable, as part of the regular monthly cash distributions to its shareholders. This policy will give the Fund greater flexibility to realize long-term capital gains and to distribute those gains on a regular monthly basis.

At the June 13, 2023 meeting, the Board of Directors of the Fund approved the termination of the Plan and adopted a new policy, effective July 1, 2023, to make regular monthly distributions at a level rate (the Policy). The Fund expects that these distributions will continue to be declared and announced on a quarterly basis. As a result of the Policy, the Fund may pay distributions in excess of its investment company taxable income and realized gains. In order to make these distributions, the Fund may have to sell portfolio securities at a less opportune time, which could have an adverse effect on the market price of the Fund’s shares. The Board of Directors of the Fund may amend or terminate the Policy, or re-adopt a managed distribution plan, at any time without prior notice to shareholders.
