Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Other Events.

On December 20, 2023, the Board of Directors of Tortoise Energy Independence Fund, Inc., a nondiversified, closed-end management investment company (the “Company”), amended and restated in its entirety the bylaws of the Company (the “Second Amended and Restated Bylaws”).  The Second Amended and Restated Bylaws include a modification to clarify and add specificity to the exclusive forum provision.  The Bylaws as amended designate the Circuit Court for Baltimore City, Maryland (or if such court lacks jurisdiction, the United States District Court for the District of Maryland, Northern Division) as the sole and exclusive forum for (a) any Internal Corporate Claim (as defined in the Maryland General Corporation Law (“MGCL”)), (b) any derivative action or proceeding brought on behalf of the Company, (c) any action asserting a claim of breach of any duty owed to the Company or any of its stockholders by any director, officer, employee or agent of the Company, (d) any action asserting a claim against the Company or any director, officer, employee or agent of the Company arising pursuant to any provision of the MGCL or the charter or bylaws of the Company, or federal law, including claims under the Investment Company Act of 1940, as amended, (e) any other action asserting a claim against the Company or any director, officer, employee or other agent of the Company that is governed by the internal affairs doctrine, or (f) any other action brought by or in the right of any stockholder or person claiming interest in any shares of stock issued by the Company based on matters arising out of, or in connection with the Company’s charter, bylaws or shares of stock, including an action asserting a claim of any nature against the Company or any director, officer, employee or agent of the Company.
