Item 5.02 Departure of Directors.

On December 18, 2013, Timothy C. Collins, Lawrence Lavine and Christopher Minnetian resigned from the Board of Directors of Gogo Inc. (the “Company”), effective as of such date in connection with the distribution by Ripplewood Holdings of all 27.6 million of its shares of the Company’s common stock to its funds’ limited partners.
