We will not receive any proceeds from the sale of the 5,999,006 shares of Common Stock subject to resale by the selling stockholders under this prospectus; however, we may receive up to approximately $1.95 million in proceeds upon exercise of the warrants held by certain of the selling stockholders, as the warrants have an exercise price of $3.334 per share and are exercisable into 584,884 shares of Common Stock. We will incur all costs associated with the preparation and filing of the registration statement of which this prospectus is a part. SELLING STOCKHOLDERS

 

The shares of Common Stock being offered by the selling stockholders listed below (or their successors and assigns) were issued, or may be issued, as the case may be, in connection with our May 2023 Private Placement.

 

Between May 1, 2023 and May 5, 2023, we entered into securities purchase agreements with accredited investors relating to an offering (the “Offering”) and the sale of an aggregate of 6,200 shares of Series B Convertible Preferred Stock (convertible into 1,860,000 shares of Common Stock), with a conversion price of $ $3.334 per share, 7,946 shares of Series B-1 Convertible Preferred Stock (convertible into 2,383,800 shares of Common Stock), with a conversion price of $3.334 per share, 150 shares of Series B-2 Convertible Preferred Stock (convertible into 44,550 shares of Common Stock), with a conversion price of $3.37 per share, and 1,106 shares of Series B-3 Convertible Preferred Stock (convertible into 326,270 shares of Common Stock), with a conversion price of $3.392 per share. Mr. Erez Raphael, our Chief Executive Officer and a director, as well as Messrs. Dennis Matheis, Yoav Shaked and Jon Kaplan, each a director, purchased shares of Series B-2 Convertible Preferred Stock in the Offering. The holders of preferred stock will also be entitled dividends payable as follows: (i) a number of shares of Common Stock equal to five percent (5.0%) of the number of shares of Common Stock issuable upon conversion of the preferred stock then held by such holder for each full quarter anniversary of holding for a total of four (4) quarters from the closing date, and (ii) a number of shares of Common Stock equal to ten percent (10%) of the number of shares of Common Stock issuable upon conversion of the preferred stock then held by such holder on the fifth full quarter from the closing date.

 

In connection with the May 2023 Private Placement, we agreed to file this registration statement covering the resale of the shares of Common Stock sold in the Offering by June 30, 2023 and July 4, 2023, respectively.

 

In addition, on May 1, 2023, we entered into a Loan and Security Agreement, and Supplement thereto (the “LSA”), by and between us and our subsidiary, PsyInnovations Inc. (“PsyInnovations”), and Avenue Venture Opportunities Fund II, L.P. and Avenue Venture Opportunities Fund, L.P., collectively as the lenders (the “Lenders”). Pursuant to the terms of the LSA, we agreed to issue the Lenders warrants to purchase up to an aggregate of 584,884 shares of the Company’s common stock, at an exercise price of $3.334 per share. The Warrants contain customary share adjustment provisions, as well as adjustments to the number of shares issuable upon exercise of the Warrants. In addition, we granted the Lenders piggyback registration rights with respect to the shares of Common Stock issuable upon exercise of the warrants.

 

The selling stockholders may sell all, some or none of their shares in this offering. See “Plan of Distribution.”

 

Other than the relationships described herein, to our knowledge, none of the selling stockholders are employees or suppliers of ours or our affiliates.
