Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On July 18, 2014, Guidewire Software, Inc. (the “Company”) and Jeremy Henrickson agreed that Mr. Henrickson would depart as Vice President, Product Development of the Company, after a short transition period. Mr. Henrickson is no longer an executive officer of the Company effective immediately.
