As previously announced, on August 8, 2016, Global Net Lease, Inc. (the “Company”) and its operating partnership entered into an Agreement and Plan of Merger (the “Merger Agreement”) with American Realty Capital Global Trust II, Inc., (the “Target”), American Realty Capital Global II Operating Partnership, L.P. (the “Target OP”) and Mayflower Acquisition LLC, a Maryland limited liability company and wholly owned subsidiary of the Company (“Merger Sub”). The Merger Agreement provides for (i) the merger of the Target with and into Merger Sub (the “REIT Merger”), with Merger Sub surviving as a wholly owned subsidiary of the Company and (ii) the merger of the Target OP with and into the Company OP (the “Partnership Merger”, and together with the REIT Merger, the “Mergers”).

 

The Company prepared an updated investor presentation with respect to the contemplated Mergers incorporating recently published financial information. Directors, officers and other representatives of the Company and the Target will present some or all of such investor presentation to various conferences and meetings in the coming months. A copy of the investor presentation is furnished as Exhibit 99.1 to this Current Report on Form 8-K. Such investor presentation shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section. The information in this Item 7.01, including Exhibit 99.1, shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act regardless of any general incorporation language in such filing.
