Item 8.01

Other Items.

On September 30, 2019, Credit Opportunities Partners, LLC (“COP”), a joint venture between FS Investment Corporation II (the “Company”) and South Carolina Retirement Systems Group Trust (“SCRS”), was formed pursuant to the terms of a limited liability company agreement between the Company and SCRS (the “COP Agreement”). The COP Agreement requires the Company and SCRS to provide capital to COP of up to $600,000,000 in the aggregate where the Company and SCRS would provide 87.5% and 12.5%, respectively, of the committed capital. Pursuant to the terms of the COP Agreement, the Company and SCRS each have 50% voting control of COP and are required to agree on all investment decisions as well as all other significant actions for COP. COP was formed to invest its capital in a range of investments, including senior secured loans (both first lien and second lien) to middle market companies, broadly syndicated loans, equity, warrants and other investments. As administrative agent of COP, the Company performs certain day-to-day management responsibilities on behalf of COP and is entitled to a fee of 0.25% of COP’s assets under administration, calculated and payable quarterly in arrears.

Effective September 30, 2019, the Company decreased the price at which it issues shares under its distribution reinvestment plan (the “DRP”) from $7.95 per share to $7.75 per share. As previously disclosed by the Company, the price at which shares are issued under the DRP is determined by the Company’s board of directors (the “Board”) or a committee thereof, in its sole discretion, and is (i) not less than the net asset value per share determined in good faith by the Board or a committee thereof, in its sole discretion, immediately prior to the payment of the distribution (the “NAV Per Share”) and (ii) not more than 2.5% greater than the NAV Per Share as of such date. The purpose of this decrease was to ensure that the Company did not issue shares under the DRP at a price per share that was more than 2.5% greater than the NAV Per Share.
