Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 18, 2015, Sandra K. Fendley, Vice President and Chief Accounting Officer of Matador Resources Company (“Matador” or the “Company”), announced that she is resigning effective May 22, 2015 in order to return to an opportunity in the midstream energy industry in which she worked for over seven years prior to joining Matador. The Company, which has initiated a search to fill the position of Chief Accounting Officer, has appreciated Ms. Fendley’s service and professionalism to Matador.
