Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 29, 2020, HomeStreet, Inc. ("HomeStreet" or the "Company"), entered into an amendment to the existing Executive Employment Agreement with each of Mark K. Mason, Chairman, President and Chief Executive Officer of the Company, and Godfrey B. Evans, Executive Vice President, Chief Administrative Officer, General Counsel and Corporate Secretary of the Company. These amendments extend the term of each of the existing agreements to six years from the effective date, or January 25, 2024. In addition, the agreements were amended to remove payment of accrued vacation amounts upon termination consistent with the Company's revised vacation policy for executives under which vacation days will no longer accrue. All of the other terms and conditions of these agreements remain unchanged.

The amendments will be filed as exhibits to the Company's Quarterly Report on Form 10-Q for the quarter ending September 30, 2020, and the foregoing description is qualified by reference to such amendments.
