On August 31, 2016, Apollo Commercial Real Estate Finance, Inc., a Maryland corporation ("ARI"), acquired Apollo Residential Mortgage, Inc. a Maryland corporation (the "Issuer") pursuant to that certain Agreement and Plan of Merger by and among the Issuer, Arrow Merger Sub, Inc., a Maryland corporation and a wholly owned subsidiary of ARI ("Merger Sub"), and ARI, dated as of February 26, 2016 ("Merger Agreement"). In accordance with the Merger Agreement, on August 31, 2016, AMTG merged with and into Merger Sub (the "Merger"). At the effective time of the Merger, each outstanding share of the Issuer's common stock was automatically cancelled and converted into the right to receive approximately $6.86 in cash and 0.417571 shares of ARI (the "Per Share Merger Consideration"), less applicable tax withholdings. The Merger is more fully described in the Issuer's proxy statement / prospectus filed with the SEC on July 27, 2016.
Reported amount includes previously reported 4,151 restricted stock units granted under the Apollo Residential Mortgage, Inc. 2011 Equity Incentive Plan. Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock for each vested restricted stock unit. Pursuant to the Merger Agreement, each restricted stock unit that was not vested as of the effective time of the Merger vested, and the underlying shares of the Issuer's common stock acquired were converted into the right to receive the Per Share Merger Consideration, less applicable tax withholdings.
