Item 1.01.

Entry into a Material Definitive Agreement.

On April 24, 2023, SunCoke Energy, Inc. (the “Company”) announced that its Indiana Harbor Coke Company, L.P. subsidiary, located in East Chicago, Indiana, has amended and restated its existing agreement to supply metallurgical coke to Cleveland-Cliffs Steel LLC, a subsidiary of Cleveland-Cliffs Inc. The amended and restated coke supply agreement extends the term of the existing agreement through September 2035 on terms similar to the existing agreement. The foregoing brief description of the amended and re-stated coke supply agreement is qualified in its entirety by reference to the agreement, a copy of which is filed as Exhibit 10.1 to this Current Report to the SEC on Form 8-K.

A copy of the press release issued by the Company announcing the contract extension is attached as Exhibit 99.1 to this Current Report on Form 8-K. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Registrant under the Securities Act of 1933 or the Exchange Act.
