Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 13, 2018, the Board of Directors (the “Board”) of Delta Tucker Holdings, Inc. (the “Company”), pursuant to Section 3.3 of the Company’s By-Laws, appointed Paul H. Miller as a member of the Company’s Board of Directors. Mr. Miller has not been named to a Board committee.
Mr. Miller joined Cerberus Capital Management, L.P. ("Cerberus") in 2014 and currently serves as a Managing Director. He previously spent four years, from 2010 to 2014, as a partner with Empire Investment Holdings ("Empire"), a private investment firm dedicated to acquiring underperforming corporate divestitures and operationally intensive private equity investments in a variety of industries. Prior to joining Empire, Mr. Miller worked for The Marshall Fund, Communications Equity Associates, CIBC World Markets and Oppenheimer & Co. He is a graduate of Georgetown University.
