(b) On July 7, 2014, Gordon Davis notified USMD Holdings, Inc. (the “Company”) of his intention to retire and resign from his position as Chief Accounting Officer of the Company. His resignation is effective as of August 1, 2014. Carolyn Jones, the Company’s Chief Financial Officer, will assume his duties until a new Chief Accounting Officer is appointed.
