Explanatory Note

 

American Realty Capital Properties, Inc. (the “Company”) previously filed a Current Report on Form 8-K on July 2, 2013 (the “Original Form 8-K”) which contained an investor presentation attached as Exhibit 99.1 thereto providing certain information relating to the Company’s potential acquisition of American Realty Capital Trust IV, Inc. (the “Target”). This amended Current Report on Form 8-K/A is being filed solely for the purpose of amending Exhibit 99.1 to clarify certain pro forma portfolio data. No other changes have been made to the Original Form 8-K.

 

Item 7.01. Regulation FD Disclosure.

 

On July 3, 2013, the Company filed a revised investor presentation which is attached as Exhibit 99.1 to this amended Current Report on Form 8-K/A. Such revised investor presentation shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934 (“Exchange Act”), or otherwise subject to the liabilities of that Section. The information in this Item 7.01, including Exhibit 99.1, shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act regardless of any general incorporation language in such filing.

The Company filed a revised investor presentation on July 3, 2013, as described in Item 7.01 of this amended Current Report on Form 8-K/A.
