Item 8.01. Other Events.

American Realty Capital Properties, Inc. (the “Company”) filed a definitive proxy statement with the Securities and Exchange Commission (“SEC”) on May 4, 2012. In the proxy statement, the Company stated that stockholder proposals for the Company’s 2013 annual stockholder's meeting (the “Meeting”) would only be accepted after 5:00 p.m., Eastern Time, on December 4, 2012 and before 5:00 p.m., Eastern Time, on January 3, 2013. These dates were off by one day due to an inadvertent miscalculation and the Company announces herein that stockholder proposals for the Meeting may only be accepted after 5:00 p.m., Eastern Time, on December 5, 2012 and before 5:00 p.m., Eastern Time, on January 4, 2013.
