Offering of Notes

On June 16, 2020, Navios South American Logistics Inc. (the “Company”) issued a press release announcing that the Company and Navios Logistics Finance (US) Inc. (the “Co-Issuer” and, together with the Company, the “Co-Issuers”) intend to offer, through a private placement, senior secured notes due 2025 (the “Notes”). The Company intends to use the net proceeds of the offering to (i) satisfy and discharge the indenture governing its outstanding $375 million in aggregate principal amount of 7.25% Senior Notes due 2022, (ii) repay all amounts outstanding under its $100 million Term Loan B facility, and (iii) pay certain fees and expenses related to the offering, with the balance, if any, to be used for general corporate purposes. A copy of the press release announcing the offer of the Notes is furnished as Exhibit 99.1 to this Report and is incorporated herein by reference.
