PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

On February 20 and 21, 2013, Swisher Hygiene Inc. (the “Company”) filed its Quarterly Reports on Form 10-Q/A for the quarters ended March 31, 2011, June 30, 2011 and September 30, 2011 (“2011 10-Qs”) to reflect adjustments resulting from the Company’s completed internal review, which was previously disclosed in its Current Report on Form 8-K, filed on May 15, 2012. Following the filing of the 2011 10-Qs, on February 26, 2013, the Company filed its Annual Report for the year ended December 31, 2011 (“2011 Form 10-K”), and, on March 11, 15 and 18, the Company filed its Quarterly Reports on Form 10-Q for the quarters ended March 31, 2012, June 30, 2012 and September 30, 2012, respectively (“2012 10-Qs”). As a result of the work and time required to prepare and file the 2011 10-Qs, 2011 10-K, and 2012 10-Qs, the Company will not be able to timely file its Annual Report on Form 10-K for the year ended December 31, 2012 without unreasonable effort or expense. The Company will not file the report within the fifteen calendar day extension period provided by Rule 12b-25 and cannot provide assurance regarding when it will complete the filing.
