Item 2.02.

Results of Operations and Financial Condition.

On July 12, 2016, FS Energy and Power Fund (the “Company”) increased its public offering price from $8.00 per share to $8.10 per share. The increase in the public offering price was effective as of the Company’s July 13, 2016 weekly closing and first applied to subscriptions received from July 6, 2016 through July 12, 2016.

In accordance with the Company’s previously disclosed share pricing policy, the new net offering price per share is not more than 2.5% greater than the Company’s net asset value per share as of July 12, 2016.
