Item 2.02.

Results of Operations and Financial Condition.

On May 12, 2015, FS Energy and Power Fund (the “Company”) increased its public offering price from $9.75 per share to $9.80 per share. The increase in the public offering price was effective as of the Company’s May 13, 2015 weekly closing and first applied to subscriptions received from May 6, 2015 through May 12, 2015.

In accordance with the Company’s previously disclosed share pricing policy, the new net offering price per share is not more than 2.5% greater than the Company’s net asset value per share as of May 12, 2015.
