The shares (the “Shares”) to be registered hereunder are shares of common stock, $0.0001 par value per share, of RiverNorth Opportunities Fund, Inc. (the “Registrant”). A description of the Shares is contained under the heading “Description of the Common Shares” in the prospectus included in the Registrant’s registration statement on Form N-2, which registration statement was originally filed under the Securities Act of 1933, as amended, and the Investment Company Act of 1940, as amended, on September 10, 2010 (Registration Nos. 333-169317 and 811-22472, respectively), and such description is incorporated herein by reference.
