This letter serves as confirmation that DST Systems, Inc., the transfer agent for American Finance Trust, Inc. (the “Company” or “AFIN”), has received your request to repurchase shares pursuant to AFIN’s share repurchase program (“SRP”).

 

On December 30, 2016, AFIN announced that its board had approved an amendment to its SRP (the “SRP Amendment”) to provide that repurchase proceeds for any repurchase requests received during the twelve-month period commencing on January 1, 2016 will be paid within 31 days of the earlier to occur of (1) the consummation of the merger of American Realty Capital — Retail Centers of America, Inc. (“RCA”) into a subsidiary of the Company pursuant to the Agreement and Plan of Merger dated September 6, 2016 entered into by the Company and RCA, among others (the “Merger Agreement”), and (2) the termination of the Merger Agreement.

 

As a result, your share repurchase request will be processed pursuant to the terms described above, including any adjustments made for applicable surrender charges or proration.

 

The SRP Amendment, which was previously filed as an exhibit to AFIN’s current report on Form 8-K filed with the Securities and Exchange Commission (“SEC”) on December 30, 2016, is copied below for your reference. The original SRP was filed as an exhibit to the Company’s quarterly report on Form 10-Q for the fiscal period ended March 31, 2016, filed with the SEC on May 13, 2016.

 

 

 

AMENDMENT TO

AMENDED AND RESTATED SHARE REPURCHASE PROGRAM

 

American Finance Trust, Inc.

 

WHEREAS, American Finance Trust, Inc. (the “Company”) maintains the Amended and Restated Share Repurchase Program (the “SRP”) effective as of February 28, 2016 (the “Effective Date”);

 

WHEREAS, the Company and its operating partnership, American Finance Operating Partnership, L.P. (the “Company OP”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with American Realty Capital — Retail Centers of America, Inc. (“RCA”), American Realty Capital Retail Operating Partnership, L.P. (the “Target OP”) and Genie Acquisition, LLC, a Delaware limited liability company and wholly owned subsidiary of the Company (“Merger Sub”), providing for the merger of RCA with and into Merger Sub (the “Merger”);

 

WHEREAS, pursuant to Section 4(a) of the SRP, the Company may at any time amend the SRP, with effect on the day following the public announcement of the amendment; and

 

WHEREAS, the Company desires to amend the SRP as set forth herein;

 

NOW, THEREFORE, pursuant to Section 4(a) of the SRP, effective as of 30 days after the Company’s filing of a Current Report on Form 8-K announcing this amendment, Section 1.g. of the SRP is replaced in its entirety with the following:

 

gSubject to Section 2 and Section 3, in respect of the twelve-month period that commenced January 1, 2016, the Company will pay repurchase proceeds, less any applicable tax or other withholding required by law, on or before the 31st day following the date of the earlier of (1) the Merger, or (2) the termination of the Merger Agreement. The period referred to in the preceding sentence is a “Fiscal Period.”

 

 

 

 

For purposes of this Section 1.g., the term “Merger Agreement” refers to the Agreement and Plan of Merger by and among the Company, American Finance Operating Partnership, L.P., American Realty Capital — Retail Centers of America, Inc. (“RCA”), American Realty Capital Retail Operating Partnership, L.P. and Genie Acquisition, LLC (“Merger Sub”), and the term “Merger” means the merger of RCA with and into Merger Sub.

 

 

 

We will communicate the results of the special meeting of AFIN stockholders, currently scheduled for February 13, 2017, to approve the merger with RCA once it has been convened. If AFIN and RCA stockholders approve the merger of the two companies, you will have the opportunity to participate in AFIN’s SRP. Below is an excerpt from AFIN and RCA’s joint proxy statement on this point:

 

Q.If the merger is completed, will RCA stockholders be eligible to participate in AFIN’s share repurchase plan?

 

A.Yes. If the merger is completed, RCA stockholders will be eligible to request repurchase of their shares of AFIN common stock under AFIN’s share repurchase plan, or the AFIN SRP. For purposes of the AFIN SRP, shares of AFIN common stock received from AFIN in exchange for shares of RCA pursuant to the Merger, if the Merger is completed, will be deemed to have been acquired from AFIN on the date that the holder acquired the shares of RCA, provided the holder of shares of RCA common stock purchased the shares of RCA common stock from RCA or received their shares of RCA common stock from RCA (directly or indirectly) through one or more non-cash transactions, and any holding period under the AFIN SRP shall be deemed to include the period that shares of RCA were held by the holder.

 

If the merger is not completed the RCA board may reconsider lifting the SRP suspension.

 

If the merger is completed, we will contact you to provide you with the necessary forms to complete in order to participate in AFIN’s SRP. RCA’s special meeting of stockholders to vote on the merger with AFIN is currently scheduled for February 13, 2017.
