Item 7.01

Spirit Airlines, Inc. (Spirit), is scheduled to present today at the J.P. Morgan Aviation, Transportation and Industrials Conference and is providing the following updated revenue guidance:

The Company estimates that its first quarter 2017 total revenue per available seat mile (TRASM) will be down 4 to 5 percent year over year.  Previously we had estimated our first quarter TRASM would be down approximately 2.5 percent year over year.   We believe this revision is largely due to our underestimating the impact related to the Easter holiday shift.  Based on current bookings, we are encouraged by the second quarter revenue trends and continue to believe TRASM for the second quarter will be positive year over year.
