Item 1.  Security and Issuer
 
This Statement relates to shares of common stock with $0.001 par value of Online Disruptive Technologies, Inc. (the “Issuer”). The principal executive offices of the Issuer are located at 3120 S. Durango Drive, Suite 305, Las Vegas, NV  89117.
 
Item 2.  Identity and Background
 
(a)
Name:  David Eyal Davidovits
 
(b)
Residence or business address: 69 Hashomer Street, Zichron Yaakov 30900, Israel.
 
(c)
During the last five years, Mr. Davidovits has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanours).
 
(d)
During the last five years, Mr. Davidovits was not a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.
 
(e)           Mr. Davidovits is a resident of Israel.
 
Item 3.  Source and Amount of Funds or Other Considerations
 
On April 9, 2012, the Issuer entered into a subscription agreement with Mr. Davidovits whereby the Issuer issued an aggregate of 5,000,000 shares of common stock at a price of $0.001 per share for total proceeds of $5,000.
 
On May 23, 2012, the Issuer entered into a subscription agreement with Mr. Davidovits whereby the Issuer agreed to issue an aggregate of 6,000,000 shares of common stock at a price of $0.001 per share for total proceeds of $6,000.
 
On July 30, 2012, the Issuer entered into a subscription agreement with Mr. Davidovits whereby the Issuer agreed to issue an aggregate of 500,000 shares of common stock at a price of $0.075 per share for total proceeds of $5,000
 
Mr. Davidovits used personal funds to make the investments disclosed above.
 
Item 4.  Purpose of Transaction
 
Mr. Davidovits acquired the 11,500,000 shares of common stock for investment purposes, but may transfer or sell such shares as necessary and in accordance with applicable securities laws.
 
As of the date hereof, except as described above, Mr. Davidovits does not have any plans or proposals which relate to or would result in:

 
The acquisition by any person of additional securities of the issuer, or the disposition of securities of the Issuer;
     
 
An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the Issuer or any of its subsidiaries;
     
 
A sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries, although Mr. Davidovits has disclosed that he is investigating other business opportunities for the Issuer;
     
 
Any change in the present board of directors or management of the Issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;
     
 
Any material change in the present capitalization or dividend policy of the Issuer;
     
 
Any other material change in the issuer's business or corporate structure, including but not limited to, if the Issuer is a registered closed-end investment company, any plans or proposals to make any changes in its investment policy for which a vote is required by Section 13 of the Investment Company Act of 1940;
     
 
Changes in the Issuer's charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the issuer by any person;
     
 
Causing a class of securities of the Issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association;
     
 
A class of equity securities of the Issuer becoming eligible for termination of registration pursuant to Section 12(g)(4) of the Act; or
     
 
Any action similar to any of those enumerated above.
 
Item 5.  Interest in Securities of the Issuer
 
The aggregate number and percentage of common stock of the Issuer beneficially owned by Mr. Davidovits is 11,500,000 shares, or 17.52% of the Issuer, based on 65,630,100 shares of common stock outstanding.
 
Mr. Davidovits has the sole power to vote or direct the vote, and to dispose or direct the disposition, of 11,500,000 shares of common stock of the Issuer.
 
Other than as described in Item 3 above, Mr. Davidovits has not effected any transaction in the shares of common stock of the Issuer in the past sixty days.
 
No person, other than Mr. Davidovits, is known to have the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, the 11,500,000 shares of common stock of the Issuer.

Except as set forth above or set forth in the exhibits, there are no contracts, arrangements, understandings or relationships between reporting persons and any other person with respect to any securities of the Issuer.
