Results of Operations and Financial Condition.

The following information is being furnished under Item 2.02, “Results of Operations and Financial Condition.” This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section. IZEA, Inc., operator of the premiere online marketplace that connects brands with influential content creators, announced a 230% year over year bookings growth in the third quarter of 2015 to $6.7 million, the highest quarterly performance in the history of the company. The Company’s bookings growth was fueled by a combination of content and sponsored social bookings. IZEA’s sponsored social bookings grew to $3.8M in the quarter, up from $2.0M in Q3 2014, an 89% year over year increase.

On October 7, 2015, IZEA, Inc. issued a press release disclosing the bookings for its third quarter ended September 30, 2015. The preceding paragraph supersedes and clarifies the information in the release regarding the sponsored social bookings comparison.
