Item 1.01 Entry into a Material Definitive Agreement.

On November 20, 2019, OptiNose, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Jefferies LLC, Cowen and Company, LLC and Piper Jaffray & Co., as representatives of the several underwriters listed therein (the “Underwriters”), and the selling stockholders named in Schedule B thereto (the “Selling Stockholders”), in connection with its previously announced public offering (the “Offering”) of 5,500,000 shares (the “Firm Shares”) of the Company’s common stock, $0.001 par value per share (the “Common Stock”), consisting of 4,250,000 shares of Common Stock to be issued and sold by the Company and 1,250,000 shares of Common Stock to be sold by the Selling Stockholders, at a public offering price of $9.75 per share less underwriting discounts and commissions. Under the terms of the Underwriting Agreement, the Company and the Selling Stockholders granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 825,000 shares of Common Stock at the public offering price less underwriting discounts and commissions (the “Option Shares” and together with the Firm Shares, the “Shares”).

The net proceeds to the Company from the Offering, excluding any exercise by the Underwriters of their 30-day option to purchase any of the Option Shares, are expected to be approximately $39.0 million after deducting underwriting discounts and commissions before offering expenses. The Company will not receive any proceeds from the shares of Common Stock sold by the Selling Stockholders. The Company intends to use the net proceeds from the Offering for working capital and general corporate purposes.

The Offering is being made pursuant to a prospectus supplement dated November 20, 2019 and an accompanying prospectus dated November 9, 2018, pursuant to a Registration Statement on Form S-3 (No. 333-228122), which was initially filed by the Company with the Securities and Exchange Commission (“SEC”) on November 1, 2018 and declared effective by the SEC on November 9, 2018.

The Underwriting Agreement contains customary representations, warranties and covenants by the Company and the Selling Stockholders, customary conditions to closing, indemnification obligations of the Company, the Selling Stockholders and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions. The representations, warranties, and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement, and may be subject to limitations agreed upon by the contracting parties. The foregoing summary of the Underwriting Agreement is qualified in its entirety by reference to the Underwriting Agreement attached hereto as Exhibit 1.1 and which is incorporated herein by reference.

Hogan Lovells US LLP, counsel to the Company, delivered an opinion as to legality of the issuance and sale of the Shares in the Offering, a copy of which is attached hereto as Exhibit 5.1 and is incorporated herein by reference.
