Explanatory Note: The following e-mail communication was made available by Nielsen Holdings plc to certain of its top shareholders on July 11, 2022.

We recently filed our definitive proxy statement for two shareholder meetings scheduled for August 9th beginning at 8:15 AM ET: a “Court Meeting” and a “Special Meeting.” The key business of these shareholder meetings is to vote on certain proposals for Nielsen to be acquired for $28.00 per share in cash by a consortium of private investment funds (“Consortium”) led by Evergreen Coast Capital Corporation, an affiliate of Elliott Investment Management L.P., and Brookfield Business Partners L.P., together with institutional partners. At the Court Meeting (which is convened by the High Court of Justice in England and Wales pursuant to U.K. law to which Nielsen is subject), shareholders will vote on whether to approve the transaction. At the Special Meeting (which will immediately follow the Court Meeting), shareholders will vote on related proposals to carry the transaction into effect.

The transaction provides a cash return at a 60% premium over Nielsen’s unaffected stock price as of March 11, 2022, the last trading day before market speculation regarding a potential transaction while also supporting Nielsen’s commitment to our clients, employees and stakeholders

 

   

The Consortium sees the full potential of Nielsen’s leadership position in the rapidly evolving media industry and the unique value we deliver for our clients worldwide

 

   

The Board undertook a comprehensive review of strategic alternatives for the future of Nielsen. After a thorough assessment, our Board determined that this transaction represents an attractive outcome for shareholders
