On October 17, 2012, Morris Goldfarb informed Black Ridge Oil & Gas, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company, effective on October 17, 2012. Mr. Goldfarb’s decision was not due to any disagreement on any matter relating to the Company’s operations, policies or practices. The Company expressed its sincere appreciation for Mr. Goldfarb’s contributions to the Company.
