Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 26, 2011, the Board of Directors of The Fresh Market, Inc. (the “Company”) approved a change in the Company’s fiscal year end from December 31 to the last Sunday in January of each year commencing with the Company’s 2012 fiscal year, which will now begin January 31, 2011 and end January 29, 2012. As a result of the change, the Company will have a one month transition period beginning January 1, 2011 and ending January 30, 2011 (the “Transition Period”).

The Company plans to report audited financial results for the Transition Period in the Company’s upcoming Annual Report on Form 10-K for the fiscal year ending December 31, 2010.
