11 | Transaction Background Why is BankMobile Technologies (“BMT”) Being Divested? Why is BMT Positioned as an Independent Company? BMT - A standalone subsidiary of Customers Bank Banking - as - a - Service Reasons for Divestment A. BankMobile Technologies (“BMT”), a subsidiary of Customers Bank (“Customers”), will be subject to reduced interchange income if it remains wholly - owned by CUBI, due to the Durbin Amendment (part of Dodd - Frank banking reform of 2011). When a bank crosses $10b in assets on December 31 st , it becomes subject to the Durbin Amendment, and interchange income is significantly reduced. Customers is now subject to the Durbin Amendment.
