The Company was unable to compile the necessary financial information required to prepare a complete filing.  Thus, the Company would be unable to file the periodic report in a timely manner without unreasonable effort or expense.  The Company expects that it will file within the extension period.

Due to increased operating expenses, management expects significant changes in the results of operations comparing the third quarter of 2011 to the third quarter of 2010.  The Company did not generate any revenue in the three or nine months ended September 30, 2011 or 2010.  For the three and nine months ended September 30, 2010, the Company reported operating expenses of $8,356 and $33,148, respectively.  For the three and nine months ended September 30, 2011, the Company is anticipating that it will report operating expenses of $452,937 and $545,091, respectively.  The anticipated increase in operating expenses is attributable to increased directors’ and officers’ compensation and the legal and accounting fees incurred in connection with the negotiations for and the due diligence on prospective transactions.
