Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2024, Wesley Cummins informed the board of directors (the “Board”) of Vishay Precision Group, Inc. (the “Company”) of his resignation from the Board, effective June 14, 2024, due to his increasing business commitments outside of the Board. Mr. Cummins’s resignation was not due to any disagreement with the Company or its management regarding any matter relating to the Company’s operations, policies or practices.
